Terms of Use

1. Acceptance

These Terms of Use ("Terms") govern access to and use of the Everon Admin Portal (the "Portal"), operated by Everon Technologies LLC ("Everon", "we", "us"). The Portal is a restricted administrative system used by Everon personnel and authorized personnel of Everon's vendors and partners (each an "Administrator") to administer affiliates, employer groups, enrollments, billing, and related programs. By signing in to or using the Portal you agree to these Terms. If you do not agree, do not use the Portal.

These Terms supplement, and do not replace, your employment agreement or the services, partnership, confidentiality, or business associate agreement between Everon and your organization. Where those agreements impose stricter obligations, they control.

2. Authorized Use

Access is granted to named individuals for a defined role and vendor scope. You may use the Portal only to perform the duties of that role, only within the vendor scope and permissions assigned to you, and only for the legitimate business purposes of Everon and the organization you represent. Access to a record does not by itself mean you are permitted to view it; open records only when your task requires it.

3. Accounts, Credentials, and Devices

• Your account is personal to you. Never share your password, one-time codes, or a signed-in session with anyone, and never use another person's account.
• Use a strong, unique password and complete any multi-factor authentication step you are asked for.
• Sign out, or lock your device, whenever you leave a session unattended.
• Use the Portal only from devices managed or approved by your organization.
• Report a lost device, a suspected compromise, or any unexpected activity on your account immediately to legal@everon.tech.
• Tell us promptly when you change roles or leave your organization so your access can be adjusted or removed.

4. Confidentiality and Protected Data

The Portal contains confidential business information and personal information about affiliates, employer contacts, employees, dependents, and plan members, including Social Security numbers, bank account details, compensation, and health-related enrollment information, some of which is protected health information under HIPAA and sensitive personal information under state privacy laws. You agree to:

• Use and disclose this information only as necessary to perform your role and as permitted by law;
• Not export, download, copy, photograph, or transmit Portal data outside systems approved by your organization, except through Portal features provided for that purpose;
• Not use Portal data for personal purposes, marketing outside the approved programs, or any unrelated business;
• Protect any exported file with the same care as the Portal itself and delete it when no longer needed; and
• Report any suspected unauthorized access, loss, or disclosure without delay.

These obligations continue after your access ends.

5. Accuracy and Actions Taken in the Portal

Actions you take in the Portal, including approving affiliates, editing records, changing enrollment or billing data, sending communications, and adjusting compensation, affect real people and real money. You are responsible for the accuracy of what you enter and for confirming you have the authority to take an action before you take it. Follow your organization's procedures for review and approval.

6. Monitoring and Audit Logging

Everon records Portal activity, including sign-ins, record views, edits, exports, communications sent, and administrative changes, together with the account, time, and network address involved. These logs are reviewed for security, compliance, and support purposes and may be shared with your organization or disclosed as required by law. By using the Portal you consent to this monitoring.

7. Prohibited Conduct

• Accessing or attempting to access records, vendor scopes, or functions outside your assigned permissions;
• Circumventing authentication, authorization, rate limiting, or other security controls;
• Probing, scanning, or testing the security of the Portal without written authorization from Everon;
• Using automated tools to scrape, bulk-export, or mass-edit data except through features Everon provides for that purpose;
• Introducing malicious code or interfering with the operation of the Portal; and
• Using the Portal for any unlawful, discriminatory, or fraudulent purpose.

8. Intellectual Property

The Portal, including its software, design, and content, is owned by Everon or its licensors. You receive only a limited, revocable right to use it in accordance with these Terms and your role. No other rights are granted.

9. Availability and Changes

Everon may change, suspend, or discontinue any part of the Portal at any time, and may perform maintenance without notice. The Portal is provided "as is" for internal administration and, except as stated in a signed agreement between Everon and your organization, without warranty of any kind.

10. Suspension and Termination

Everon may suspend or terminate your access at any time, with or without notice, including for any breach of these Terms, for security reasons, at the request of your organization, or when your business need ends. Sections 4, 6, and 8 survive termination.

11. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles, except where a signed agreement between Everon and your organization provides otherwise, in which case that agreement controls.

12. Changes and Contact

We may update these Terms by posting a revised version with a new effective date. Continued use of the Portal after a change constitutes acceptance. Questions about these Terms may be sent to legal@everon.tech.
